AirMedia Announces US$50 Million Share Repurchase Program

BEIJING , Dec. 29 /PRNewswire-Asia-FirstCall/ -- AirMedia Group Inc. (Nasdaq: AMCN), operator of the largest digital media network in China dedicated to air travel advertising, today announced that its board of directors has approved a share repurchase program.

AirMedia's board of directors has authorized, but not obligated, AirMedia to repurchase up to US$50 million worth of its own outstanding American Depositary Shares ("ADSs") throughout 2009. The repurchases will be made from time to time on the open market at prevailing market prices, in negotiated transactions off the market, in block trades or otherwise. AirMedia may execute its repurchase program pursuant to a plan in conformity with Rule 10b5-1 under the Securities Exchange Act of 1934, as amended, which allows AirMedia to repurchase its ADSs pursuant to the pre-determined terms under the plan at any time, including during periods in which it may be in possession of material non-public information. The timing and extent of any purchases will depend upon market conditions, the trading price of ADSs and other factors, and be subject to the restrictions relating to volume, price and timing in accordance with applicable laws. AirMedia expects to implement this share repurchase program in a manner consistent with market condition and the interest of its shareholders. AirMedia's board of directors will review the share repurchase program periodically, and may authorize adjustment of its terms and size accordingly.
